These Terms of Use (“Terms”) govern access to and use of the website www.sojaru.in and the cybersecurity products and services provided by Sojaru Corp LLP (“Sojaru”, “Company”, “we”, “us”, or “our”), including but not limited to Hawk (AI-assisted code vulnerability scanner) and Galactus (real-time intrusion detection and protection system) (collectively, the “Services”). By accessing or using the Website or Services, you (“User”, “Client”, or “you”) agree to be bound by these Terms, our Privacy Policy, Cookie Policy, and any applicable Enterprise NDA or Service Agreement.

Eligibility & Acceptance

  1. You must be legally capable of entering into a binding contract under Indian law.
  2. Use of the Services constitutes electronic acceptance under the Information Technology Act, 2000.
  3. If you do not agree, you must immediately discontinue use.

Scope of Services

  1. Sojaru provides cybersecurity products and services including, but not limited to:
    • Automated source code and application security analysis
    • Vulnerability detection and reporting
    • Intrusion detection, monitoring, and threat mitigation
    • Security consulting and audits
  2. Specific deliverables, pricing, and service levels are governed by:
  • Proposal / Order Form
  • Service Level Agreement (SLA)
  • Enterprise NDA (where applicable)

Authorized Use

  1. You may use the Services only for lawful internal business purposes.
  2. You agree not to:
    • Test, scan, or monitor systems you do not own or control
    • Reverse engineer, decompile, or replicate Sojaru technology
    • Use the Services for illegal surveillance, hacking, or exploitation
    • Resell, sublicense, or provide access to third parties without authorization
  3. You are solely responsible for obtaining all permissions and consents required to submit data, logs, or source code for analysis.

Client Data & Source Code

  1. Client data and source code remain the exclusive property of the Client.
  2. Sojaru does not claim ownership, license, or derivative rights over Client code.
  3. Client data is processed solely for security analysis and protection in accordance with:
    • Privacy Policy
    • Enterprise NDA
    • Applicable Indian law
  4. Client data is never used to train public or third-party AI models.

Intellectual Property

  1. All intellectual property related to:
    • Hawk, Galactus, and related software
    • AI models, detection logic, algorithms
    • Documentation, trademarks, branding remains the exclusive property of Sojaru Corp LLP.
  2. Except as expressly permitted, no rights are granted to copy, modify, or create derivative works.

Security & Compliance

  1. Sojaru implements reasonable and industry-standard security controls, including encryption, access controls, and monitoring.
  2. No cybersecurity solution can guarantee absolute protection, and you acknowledge inherent risks.
  3. In the event of a reportable incident, Sojaru will comply with CERT-In Directions (2022) and applicable laws.

Payments & Taxes

  1. Fees are payable as per agreed commercial terms.
  2. All prices are exclusive of applicable taxes, including GST.
  3. Failure to pay may result in suspension or termination of Services.
  4. Unless expressly stated, payments are non-refundable.

Confidentiality

  1. Confidential information exchanged during service delivery is governed by the Enterprise NDA or confidentiality clauses in the SLA.
  2. Confidential obligations survive termination.

Disclaimers

  1. Services are provided on an “AS IS” and “AS AVAILABLE” basis.
  2. Sojaru disclaims all warranties, express or implied, including fitness for a particular purpose or non-infringement.
  3. Security findings are advisory in nature and do not guarantee prevention of breaches.
  4. Sojaru is not responsible for:
    • Client misconfiguration
    • Unpatched systems
    • Third-party software vulnerabilities
    • Actions taken (or not taken) based on reports

Limitation of Liability

  1. To the maximum extent permitted by law, Sojaru shall not be liable for:
    • Indirect, incidental, special, or consequential damages
    • Loss of profits, revenue, data, or goodwill

2. Aggregate liability, if any, shall not exceed the total fees paid by the Client to Sojaru in the preceding 12 months.

Indemnification

You agree to indemnify and hold harmless Sojaru Corp LLP, its partners, employees, and agents against claims arising from:

  • Unauthorized or illegal use of the Services
  • Violation of these Terms
  • Breach of third-party rights or laws

Suspension & Termination

  1. Sojaru may suspend or terminate access immediately for:
    • Breach of these Terms
    • Legal or regulatory requirements
    • Security threats or misuse
  2. Upon termination:
    • All outstanding payments become due
    • Access rights cease
    • Confidentiality obligations survive

Force Majeure

Neither Party shall be liable for failure or delay due to events beyond reasonable control, including natural disasters, government actions, or internet outages.

Governing Law & Jurisdiction

These Terms are governed by the laws of India. Exclusive jurisdiction: Courts of Kolkata, West Bengal, India.

Modifications

Sojaru may update these Terms from time to time. Continued use after updates constitutes acceptance.

Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, NDA, and SLA, constitute the entire agreement between you and Sojaru.
